Course Overview:

Mergers and acquisitions happen daily all over the world and approximately US$4.7 trillion in global deals were signed in 2015, a 2.7% growth in the number of deals and a 16% value increase. This momentum will continue and you cannot avoid from being involved in this wave.

From a Deloitte 2016 year-end survey, effective integration planning is considered the main factor to ensure the smooth conclusion of an M&A deal.

Participants of this course can gain an understanding of what is required to successfully complete a merger or acquisition and the pitfalls that derail the process. It is essential to understand the roles and responsibilities of the individual departments.

The steps of the M&A process are explained in detail and practiced using relevant industry-specific case studies. These case studies demonstrate the importance of developing an assimilation plan before the deal is closed. Particularly, the role that managers from the acquired firm play in developing the assimilation plan is explained.


Upon successful completion of the course, participants will obtain a Certificate of Attendance.

Trainer Biography:


Prof Sunny Wong is the Adjunct Professor, Department of Management, School of Business at HSMC and the Executive Director of Tibet Water Resources Ltd., a listed company on the Hong Kong Stock Exchange. He had been Chairman of Carlsberg Greater China and then senior advisor to Carlsberg Asia during September 2011 to November 2014.

Apart from the role as Chairman and CEO during the period from 2006 to 2014, Mr Wong was also the chief of the M&A team. He set the strategic M&A plan for Carlsberg’s long-term development in China and led a team from identifying potential targets, negotiation, closing of deals to post-acquisition activities. The team has since 2002 successfully acquired 59 breweries in twelve provinces in China and increased the production plants from 1 to 60, with a total workforce up to 15,000.

Mr Wong has a strong and successful background of more than 30 years’ experience in the China FMCG industry, of which more than 25 years’ experience was spent on the China beer market, for top international companies Carlsberg and Bass Brewers.

Mr Wong graduated from Hong Kong Baptist University in 1978 and received his MBA degree from Bath University, UK in 2001. Mr Wong has been actively delivering talks on various topics to the government, business institutions and universities, including the Leadership in Action” series of HSMC – EDC.


Dr. Victor Ng is the Adjunct Associate Professor, Department of Economics and Finance, HSMC. He was the former Senior Vice President of China Construction Bank. Dr. Ng possesses rich experience in managing organizational diversity and was responsible for overseeing the Bank’s strategic initiatives of Mergers and Acquisitions (M&A), Integrations and Branch Network channel capability.

In 2006, Dr. Ng was appointed as the Lead Executive to oversee the M&As of several cross-border banks and financial institutions, and led related Integrations of the individual entities into a consolidated corporation with a track record as the fastest and smoothest transactions as regarded by HK Monetary Authority. 

Prior to that, Dr. Ng taught MBA classes as an adjunct associate professor for a local University and delivered training in various China provinces. He delivered lectures, training, workshops and seminars to business executives in Hong Kong and China, covering “Change Management”, ”Leadership and Organizational Development” and “Seminars in Marketing”.
